1. Acceptance of Terms

These Terms of Use (“Terms”) form a legal agreement between you (“Customer”, “you”) and VoiceAI Tech JSC (“VoiceAI Tech”, “we”, “us”) governing your use of our websites, APIs, SDKs, software, and any related services (“Services”). By using the Services, you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must stop using the Services.

2. Definitions

• “Services”: All products, APIs, SDKs, documentation, and support offered by VoiceAI Tech.
• “User Content”: Any audio files, transcripts, data, or information you upload or provide.
• “Account”: The user account registered to access the Services.
• “API Key”: Unique credential issued to you for programmatic access.

3. Account Registration

3.1 Eligibility

To register and use the Services, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Have authority to enter into a binding contract.
• Provide accurate, complete, and up-to-date information.
• Not be barred from using the Services under applicable laws.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activities under your account. Notify us immediately of any unauthorized use.

4. Permitted Use

4.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms and the plan you selected.

4.2 Prohibited Conduct

You must not:

• Use the Services for unlawful, harmful, or abusive purposes.
• Violate intellectual property or privacy rights.
• Upload content that is illegal, defamatory, or invasive of privacy.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Interfere with or disrupt servers, networks, or security controls.
• Use automated scripts or bots without prior written consent.
• Attempt unauthorized access to any systems or accounts.
• Exceed usage limits or resell the Services without our approval.

4.3 Usage Limits

Your plan may include limits on API calls, audio hours, storage, or seats. We may throttle or suspend services if you exceed these limits.

5. User Content

5.1 Ownership

You retain ownership of User Content. By submitting content, you grant VoiceAI Tech a worldwide, non-exclusive, royalty-free license to host, process, analyze, and back up the content solely to provide and improve the Services. We anonymize or aggregate data when used for model training.

5.2 Responsibility

You represent and warrant that:

• You have obtained all necessary rights, permissions, and consents.
• Your content does not infringe third-party rights.
• You comply with all applicable laws, including data protection regulations.

5.3 Removal

We may remove or disable access to content that violates these Terms or legal requirements.

6. Fees & Payment

6.1 Fees

You agree to pay all fees associated with your subscription or contract. Pricing and billing cycles are described on our pricing page or customized agreement.

6.2 Billing

• We accept credit cards, bank transfer, and other approved methods.
• Plans are billed in advance on a monthly or annual basis.
• Subscriptions auto-renew unless canceled before the next billing date.
• Taxes, VAT, or withholding taxes may be added as required.

6.3 Refunds

New customers may request a refund within 14 days of first purchase. Beyond that period, fees are non-refundable except when the Service suffers a major outage caused by us or when we terminate your account without cause.

7. Intellectual Property

7.1 Ownership

All intellectual property in the Services—including software, models, designs, logos, and documentation—remains the sole property of VoiceAI Tech or its licensors. No rights are granted except as expressly stated.

7.2 Feedback

Any suggestions or feedback you provide may be used by us without restriction or obligation to compensate you.

8. Warranties & Disclaimers

8.1 As-Is

The Services are provided “as is” and “as available”. We do not warrant that the Services will be uninterrupted, error-free, or meet your exact requirements.

8.2 Limitation of Liability

To the fullest extent permitted by law, VoiceAI Tech will not be liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost data, or business interruption. Our total liability is limited to the fees you paid during the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless VoiceAI Tech, its affiliates, directors, and employees from any claims, losses, or expenses arising out of your use of the Services, breach of these Terms, or violation of third-party rights.

10. Term & Termination

10.1 Term

These Terms remain in effect so long as you access or use the Services.

10.2 Termination by You

You may cancel your account at any time via the dashboard or by emailing support@vinhtech.xyz.

10.3 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, create security risks, or if required by law.

10.4 Effects of Termination

• Your access to the Services will cease immediately.
• We will retain your data for 30 days, after which it will be deleted, unless law requires longer retention.
• Outstanding fees become immediately due.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law principles.

1. Negotiation: Parties will attempt to resolve disputes through good-faith discussions.
2. Arbitration: If unresolved, disputes shall be submitted to the Vietnam International Arbitration Centre (VIAC).
3. Court: Either party may seek injunctive relief in the competent courts of Ho Chi Minh City.

12. General Provisions

12.1 Changes

We may update these Terms. We will notify you of material changes at least 30 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance.

12.2 Assignment

You may not assign or transfer these Terms without our prior written consent. VoiceAI Tech may assign to affiliates or successors.

12.3 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and VoiceAI Tech.

12.4 Severability

If any provision is held invalid, the remaining provisions remain in full effect.

12.5 No Waiver

Failure to enforce a provision shall not be deemed a waiver of that provision.
